1. Acceptance of Terms
By accessing or using Squeak ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Squeak. We reserve the right to modify these Terms at any time, and your continued use of the Service following any modifications constitutes acceptance of the updated Terms.
2. Service Description
Squeak is a real-time voice and text communication platform that allows users to create and join communities ("Nests"), send direct messages, participate in voice and video channels, and interact with other users. The Service is operated by a development team based in the United Arab Emirates, with infrastructure hosted on servers located in the United States.
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.
3. User Accounts
To use certain features of the Service, you must create an account. By creating an account, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
- Be at least 13 years of age (or the minimum age required in your jurisdiction)
We reserve the right to terminate or suspend your account at any time for violations of these Terms or for any other reason at our sole discretion.
4. User Content
You retain ownership of any content you submit, post, or transmit through the Service ("User Content"). By submitting User Content, you grant Squeak a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with providing and improving the Service.
You represent and warrant that you own or have the necessary rights to submit any User Content, and that your User Content does not violate the rights of any third party, including intellectual property rights and privacy rights.
We do not endorse, support, or guarantee the completeness, truthfulness, accuracy, or reliability of any User Content. You understand that by using the Service, you may be exposed to User Content that may be offensive, harmful, or inaccurate.
5. Prohibited Use
You agree not to use the Service to:
- Post or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
- Impersonate any person or entity or falsely represent your affiliation with any person or entity
- Engage in any form of spam, phishing, or unsolicited mass communications
- Distribute malware, viruses, or any other harmful software
- Engage in any activity that interferes with or disrupts the Service or its servers
- Attempt to gain unauthorized access to any portion of the Service or related systems
- Collect or harvest personal data about other users without their consent
- Violate any applicable local, state, national, or international law or regulation
- Engage in hate speech, discrimination, or content that promotes violence against individuals or groups
- Share content depicting child sexual abuse material (CSAM) or any sexual content involving minors
6. Intellectual Property
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Squeak and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Squeak.
You may not copy, modify, distribute, sell, or lease any part of the Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless applicable law prohibits these restrictions or you have our written permission.
7. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy carefully, as it describes how we collect, use, and share information about you when you use the Service.
8. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SQUEAK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
We make no representations or warranties about the accuracy or completeness of the Service's content or the content of any sites linked to the Service, and we will not be liable for any inaccuracies, errors, omissions, or for any reliance placed on such information.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SQUEAK, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (iii) ANY CONTENT OBTAINED FROM THE SERVICE; OR (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
IN NO EVENT SHALL SQUEAK'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID TO SQUEAK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (b) ONE HUNDRED US DOLLARS (USD $100).
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. As a service developed in the United Arab Emirates with US-based infrastructure, we also acknowledge applicable UAE federal laws and regulations.
Any disputes arising under these Terms that cannot be resolved informally shall be subject to binding arbitration in accordance with the American Arbitration Association's rules. The arbitration shall take place in English. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from the courts.
If you are a resident of the European Union, you may have additional rights under applicable local law. Nothing in these Terms is intended to limit those rights.
